The Terms of Service (“Terms of Service”) set forth the terms and conditions applicable to your use of the www.ipwe.com patent transaction platform, including www.aboutipwe.com (together, the “Platform”).
IPwe owns or licenses all content provided on the Platform and the content is protected by United States and international copyright laws. You may not reproduce, resell, modify, display, transmit or distribute any such content, including patent listings without the prior written consent of IPwe. You may use the information provided in the deal rooms outside of the Platform upon IPwe’s prior approval. IPwe owns all trademarks, service marks, trade names and logos used in its business, including the IPwe mark and logo.
As part of our service, we provide template agreements, including a patent sale agreement, patent license agreement and non-disclosure agreement to facilitate the execution of the transactions you may enter into on the Platform. IPwe expressly disclaims all liability, loss or risk incurred as a direct or indirect consequence of the use of, or inability to use, any such agreement. By using any template agreement, you waive any rights or claims you may have against IPwe and its affiliates in connection with that use. You hereby agree that (i) IPwe does not provide legal advice and is not a provider of legal services, (ii) you will not rely on the information and services provided by IPwe as legal advice and (iii) the template agreements may not reflect the most current legal developments and may not address all relevant business or legal issues for a given business arrangement.
The Platform and the services included thereon are provided on an “as is” and “as available” basis. IPwe and its affiliates make no representations or warranties of any kind, express or implied, as to the operation of the Platform, its contents and the services provided thereon, including any implied warranties of merchantability, fitness for a particular purpose or non-infringement. IPwe expressly disclaims any liability for any action, or failure to take action, in reliance on the contents of the Platform. You hereby agree that your use of the Platform and the services included thereon is at your sole risk.
We take the privacy and security of the users of the Platform seriously. IPwe collects personal information from you, such as your name and e-mail, only when you register on the Platform or subscribe for IPwe updates and marketing materials. We use your data only to create your account, allow you to use the Platform, or send you business updates and marketing materials at your request.
By registering on, or submitting your personal data through, the Platform, you agree to the use of your data by IPwe, Inc., a Delaware corporation with a mailing address at 2633 McKinney Avenue, Suite 130-740, Dallas, TX 75204, USA (file number 6703755), acting as the controller of your data. The collection of your data is necessary to create your account, allow you to use the Platform or send you business updates and marketing materials at your request. IPwe will use your data only for those purposes. IPwe will keep, store and process your data in the United States that the European Commission regards as not providing adequate level of data protection. We may share your personal information with third parties only (i) as required by applicable law and (ii) with third-party service providers that IPwe may employ in the ordinary course of business.
IPwe will store your data until you terminate your account. You may ask to have your data deleted at any time or withdraw your consent by contacting our Data Protection Officer by e-mail at [email protected]. Under GDPR and law no. 78-17 dated 6 January 1978, you have a right of access, rectification, erasure, limitation and objection with respect to your data, and a right to the portability of your data. You also have the right to decide what will happen to your data after your death. You may exercise your rights at any time by contacting our Data Protection Officer by (i) e-mail at [email protected], (ii) mail at the address noted above, enclosing a copy of your identity card or (iii) telephone at +1 214 438 0820.
